Terms of service

These terms of service govern your access to and use of SerpWise AI, including our web dashboard and edge proxy infrastructure. By creating an account or routing your website traffic through our proxy network, you enter into a legally binding agreement with SerpWise AI.
If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
1. Description of service
SerpWise AI provides a software-as-a-service platform that acts as a reverse edge proxy. Our service intercepts incoming web traffic to your domain and applies real-time modifications to HTML, HTTP headers, and structured data for the purposes of Search Engine Optimization (SEO), Generative Engine Optimization (GEO), and Agent Optimization Engine (AOE) governance.
- No ranking guarantees: SerpWise provides infrastructure and tools to modify search signals. We do not guarantee specific search engine rankings, increased organic traffic, or citations from AI agents. Search algorithms are outside of our control.
- Origin reliance: Our proxy network sits in front of your origin server. We are not responsible for downtime, slow performance, or errors caused by your origin server failing to respond to our edge nodes.
2. Account registration and security
You must register for an account to access the SerpWise dashboard.
- Accurate information: You must provide accurate, current, and complete information during registration.
- Security: You are responsible for safeguarding your password and API keys. You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
3. User obligations and acceptable use
Because our service intercepts and modifies live web traffic, strict usage rules apply. You agree that you will not use SerpWise AI to:
- Unauthorized domains: Route traffic for domains, subdomains, or web properties that you do not own or have explicit legal authorization to manage.
- Malicious activity: Distribute malware, launch phishing attacks, bypass security controls, or engage in any fraudulent activity.
- Content violations: Proxy content that is illegal, incites violence, or violates the intellectual property rights of third parties.
- System abuse: Attempt to reverse engineer our proxy engine, overload our edge nodes, or bypass our billing and credit limits.
We reserve the right to immediately suspend or terminate your account and halt proxy services if we determine you have violated these acceptable use policies.
4. Subscription, billing, and credits
SerpWise operates on a subscription model that may include a combination of flat monthly fees and usage-based credits.
- Payments: All payments are processed securely through our third-party payment provider (Stripe). By providing a payment method, you authorize us to automatically charge your account for subscription renewals and usage overages.
- Credits: Certain features, such as automated site crawling or AI model generation, require credits. Credits do not roll over unless explicitly stated in your plan.
- Refunds: All fees are non-refundable. If you cancel your subscription, you will retain access to the service until the end of your current billing cycle, after which your proxy configurations will be disabled.
5. Service availability and SLA
We strive to ensure our edge proxy network remains highly available and performant globally. However, our services are provided on an "as is" and "as available" basis.
We do not warrant that our services will be uninterrupted or completely error-free. Network routing issues, DDoS attacks, or upstream provider outages may occasionally impact service. In the event of scheduled maintenance, we will provide advance notice via email or dashboard alerts.
6. Intellectual property
- Our platform: We retain all rights, title, and interest in the SerpWise AI platform, including the proxy engine, rules engine, dashboard interface, and all underlying code.
- Your content: You retain all ownership rights to the content, code, and assets hosted on your origin server. By routing traffic through SerpWise, you grant us a temporary, non-exclusive license to fetch, cache, and modify that content strictly to provide the service according to your configured rules.
7. Limitation of liability
To the maximum extent permitted by applicable law, SerpWise AI and its affiliates, directors, or employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to:
- Loss of profits or revenue
- Loss of search engine rankings or organic traffic
- Loss of data or business interruption
- Costs associated with origin server downtime
In no event shall our aggregate liability for all claims related to the service exceed the total amount you paid to SerpWise AI in the twelve months preceding the claim.
8. Governing law and jurisdiction
SerpWise AI is a registered entity in Denmark. These terms of service and any disputes arising out of them shall be governed by and construed in accordance with the laws of Denmark.
Any legal action or proceeding related to these terms shall be brought exclusively in the courts located in Aarhus, Denmark.
9. Changes to these terms
We may modify these terms at any time. If we make material changes, we will notify you via email or through an alert in the SerpWise dashboard before the changes take effect. Your continued use of the service after the effective date constitutes your acceptance of the updated terms.
